Welcome to VerifyOne. These Terms and Conditions (“Terms”) govern your access to and use of VerifyOne’s verification services, APIs, and related products (collectively, the “Services”). By registering, integrating, or using the Services, you (“Client,” “you,” or “your”) agree to comply with and be legally bound by these Terms. If you do not agree, you must immediately stop using the Services.

1. Introduction

VerifyOne provides secure and scalable verification solutions for SMS, direct phone validation, and email verification. Our Services are designed to help businesses confirm user authenticity, reduce fraud, and ensure compliance with global privacy standards. These Terms apply to all Clients, users, and third parties who access or use the Services.

2. Definitions

• “Services”: All verification services, including SMS OTP verification, direct phone validation, and email verification, provided by VerifyOne.
• “API”: Application Programming Interface provided by VerifyOne to integrate Services.
• “Client”: Any entity or individual who subscribes to and uses the Services.
• “User Data”: Information submitted to VerifyOne for verification, including phone numbers, emails, or related identifiers.
• “Agreement”: This Terms and Conditions document along with any referenced policies.

3. Eligibility

You must be at least 15 years old or legally able to enter into binding agreements. You may only use the Services for lawful business purposes. You represent that you have full authority to bind your organization to these Terms.

4. Account Registration and Security

To access the Services, you must create an account and provide accurate, complete information. You are responsible for safeguarding your login credentials, API keys, and integration details. You agree to notify VerifyOne immediately of unauthorized use of your account.

5. License and Acceptable Use

5.1 License

VerifyOne grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your business purposes.

5.2 Acceptable Use

• ❌ Use the Services for unlawful, harmful, or fraudulent activity.
• ❌ Attempt to reverse-engineer, decompile, or copy VerifyOne’s APIs or software.
• ❌ Sell, sublicense, or transfer the Services to unauthorized third parties.
• ❌ Upload User Data without consent or in violation of privacy laws.
• ❌ Use the Services for spam, harassment, or unsolicited communications.

Violation of this clause may result in immediate suspension or termination.

6. Data Handling and Privacy

• ✔ User Data is processed solely for verification purposes.
• ✔ All data is encrypted in transit and at rest.
• ✔ VerifyOne complies with GDPR, CCPA, and other global privacy regulations.
• ✔ Clients must ensure they have lawful consent from end-users before submitting User Data.
• ✔ Metadata (e.g., results, timestamps) may be retained for operational and audit purposes.
• ✔ Data will never be sold and will only be disclosed when required by law.

7. Service Availability and Support

VerifyOne strives for 99.9% uptime but does not guarantee uninterrupted availability. Services may be temporarily unavailable due to scheduled maintenance or unforeseen outages. Technical support is available via email or ticketing system during business hours.

8. Fees, Billing, and Payment

Fees are charged based on your subscription plan or usage volume. Payments are due as per your billing cycle. Non-payment may result in suspension. All fees are non-refundable unless required by law. Taxes and regulatory charges are the Client’s responsibility.

9. Intellectual Property

All intellectual property rights in VerifyOne’s Services, APIs, software, documentation, and branding remain with VerifyOne. Clients may not copy, modify, or distribute VerifyOne’s IP. Feedback provided by Clients may be used by VerifyOne without obligation.

10. Confidentiality

Both parties agree to maintain confidentiality of sensitive information, including API credentials, technical documentation, and business data. Confidentiality obligations survive termination of this Agreement.

11. Warranties and Disclaimers

VerifyOne provides Services “as is” and makes no warranties of accuracy, reliability, or fitness for a particular purpose. We do not guarantee verification results are error-free, nor that fraud can be entirely prevented. Clients use the Services at their own risk.

12. Limitation of Liability

VerifyOne is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruptions. Our maximum liability is limited to fees paid by the Client in the three (3) months preceding the claim.

13. Indemnification

Clients agree to indemnify and hold VerifyOne harmless against claims arising from misuse of Services, violation of these Terms, or breach of laws/third-party rights.

14. Termination

Clients may terminate accounts at any time. VerifyOne may suspend/terminate Services for non-payment, violations, or suspected fraud. Upon termination, all rights to use Services cease immediately.

15. Changes to Terms

VerifyOne may update these Terms periodically. Updates will be posted on our website, and continued use constitutes acceptance.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes fall under the exclusive jurisdiction of the Punjab and Haryana High Court, Chandigarh. Parties agree to attempt good-faith negotiations before litigation.
